Introduction
1. These terms and conditions (collectively, hereinafter referred to as the "Terms") govern your access to and use of the website of redbus.vn and all associated sites, mobile applications as well as any other media form, media channel, web application related, linked, or otherwise connected thereto that link to or reference these Terms (" Website/ App"). Further, the Website/ App is owned and operated by REDBUS VIETNAM COMPANY LIMITED, including its subsidiaries, affiliates, collectively, “we,” “us,” or “our” or “Redbus".
2. Please read these Terms carefully before using the Website/ App, which provides e-commerce trading floor service that allows organizations and individuals to book online bus tickets (“Services”). Further, for the purpose of clarity, it is hereby stated that the Website/ App is not engaged in providing any services and the sale and purchase of goods by itself but is a platform, which merely connects the Sellers to Buyers. The Usage of our Website/ App includes but is not limited to, accessing, browsing, or registering to use the Website/ App.
3. These Terms constitute a binding electronic agreement between you, whether personally or on behalf of an entity (“you”, “your” and “User”) and Redbus concerning your access to and use of the Website/ App in terms of the applicable legislation. This electronic agreement is generated by a computer system and does not require any physical or digital signatures. BY ACCESSING AND/OR USING ANY PART OF THE WEBSITE/ APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AGREED AND TO BE BOUND BY THESE TERMS AND OTHER POLICIES PUBLISED ON THE WEBSITE/ APP, including but not limited to (i) Operation regulation, (ii) Privacy Policy and (iii) Cookie Policy. All such terms are hereby incorporated by reference into these Terms (provided, however, these Terms will take precedence in the event of conflict). We shall resolve any such conflicts at our sole discretion, and all of our determinations are final. If you do not agree to the Terms, you may not access or use any part of our Website/ App. Redbus shall provide an online platform where you can conduct the desired transactions of bus ticket booking provided by organizations or individuals with legitimate business and commercial activities agreed by Redbus to provide services related to bus tickets (“Seller”) through the Website/ App for legitimate , and shall be binding on the User. All rights and liabilities of the User and/or Redbus with respect to the use of Website/ App and the use of the bus ticket booking facility ("Facility") provided by Website/ App shall be restricted to the scope of these Terms.
4. In addition to these Terms, any other “terms of service” of the application-programming interface ("API") with which Redbus may tie up would form an integral part of these Terms (hereinafter referred to as the "API Terms"). However, in the event of a conflict between such API Terms and these Terms, these Terms shall prevail.
5. Your use of the Services is subject to these Terms as may be amended by us from time to time at our sole and absolute discretion. These Terms shall also include any other operating rules, policies and procedures which we may issue from time to time.
6. We may revise these Terms at any time with or without notice to you and any changes will be uploaded on the Sites. These changes shall take effect from the date of upload and your continued access or use of the Sites and/or the Services from such date shall be deemed to constitute acceptance of the new Terms. It shall be your sole responsibility to check the Sites for such changes from time to time. If you do not agree to these Terms, please exit the Sites and either do not use or cease usage of all the Services immediately.
7. Each of the User and Redbus shall hereinafter be referred to as “Party” to the agreement and collectively referred to as “Parties”.

Terminology:
1. For the purpose of these Terms, wherever the context refers to "you" or "User" shall mean all organizations or individuals who participate on the Website/ App to make transaction (i.e., Buyers), including Website/ App visitors.
  Redbus allows the User to browse the Website/ App or make purchases without registering on the Website/ App by creating a member account to trade and/or order online services at the e-commerce trading floor of the Website/ App. The term "we", "us", "our" shall mean Redbus and/or its subsidiaries and affiliates. Any use of the above terminology or other terms defined in these Terms in the singular or plural, whether or not in capitalization and references to "he", "she" or "they", are taken as interchangeable and therefore as referring to same.
2. “Charges” means all charges as stipulated by bus operators and regulators.
3. “Boarding Point” means the scheduled pick-up point in the passenger's itinerary
4. “Destination” means the scheduled destination in the passenger's itinerary.
5. “Route” is determined by the journey of departure and destination for fixed-route vehicles and the departure and arrival places for contract vehicles and tourist vehicles.
6. “Stopover” means a location between the departure location and arrival location in the passenger's itinerary. Stopover may be accepted, provided that it is appropriate with the requirements of governmental authorities and the regulations of bus operators and must be arranged with the bus operators in advance and indicated on the ticket.
7. “Force Majeure Event(s)” means events that happened or may happen, and are beyond the control of parties affected including but not limited to acts of God, governmental acts, earthquake, hurricane, flood, storm, fire, war, riots, revolution, explosion, civil commotion, industrial dispute, armed hostilities, the act of terrorism, revolution, blockade, embargo, industrial or trade dispute, adverse weather, disease, or any other cause
8. “Ticket” is proof of a transport contract between passenger(s) and a bus operator in paper issued by a bus operator or an electronic confirmation issued by Redbus, with information on passenger including but not limited to name, booking code, journey, and other journey notice sent by Redbus via registered emails.
  “Ticket” here is understood as the ticket for fixed-route buses and journey confirmation for contract buses. 2.9
  
  “Product” means products and services provided by Seller on the Website/ App. Specifically, bus ticket selling.
9. “Fare”: price, surcharges stipulated in the published price of a bus operator and/or in transport related conditions. Fare is the price that the bus company officially quote at the time of booking tickets. Passengers are responsible for paying all taxes, fees, and surcharges applied by the government authorities, bus companies or Redbus. At the time of booking, passengers will be informed of taxes, fees, and surcharges.
  
  Redbus reserves the right to refuse to provide services and bus companies reserve the right to refuse to transport passengers and luggage if taxes, fees, and surcharges are not fully paid by passengers. Fare, taxes, fees, and surcharges are paid in the currency required by Redbus on the Website/ App, unless otherwise prescribed by law.
10. Bus Operator" or “Seller” includes the bus company of fixed-route vehicles, tourist cars, and contract vehicles.
11. "Passenger" or “Buyer” or “User” means any individuals or organizations using the services on the Website/ App.
12. "Contract of Carriage" means an agreement between the Bus Operator and the Passenger to provide services according to the Passenger's needs expressed in tickets or other forms of equivalent value to the ticket.
13. "Reservation" here is used for busesrunning on fixed routes and is understood as booking individual ticket/tickets on these buses
14. "Booking" is made on the system through the Website/ App or Agent, then the Passenger will be given a reservation number. "Reservation Confirmation": is made after the Passengers’ payment completion on the Website/ App. A Ticket will be issued with a confirmed booking number. In some cases, the purchase of Tickets has a fixed time to pay before departure time, the Passenger must complete the payment before confirmation of the seat and a reservation code. Change of reservation includes change of passenger name, itinerary, departure time, as follows:
  - You must pay the change fees and fare difference (if any) due to your change of Ticket.
  - The change is completed only after you make payment for the changed fee and ticket price according to the Fee Schedule published by Redbus from time to time and the difference in Fare (if any). Redbus will update the change of information to the Passenger's Ticket.
  - Tickets must be fully paid for before being confirmed the successful booking by Redbus. In any situation where the total price of the Ticket is not paid in full, Redbus reserves the right to cancel the Reservation.
15. "Personal Information" includes but not limited to name, email address, phone number, the information about the payment process and other necessary information as described in the Privacy Policy and the Regulation for the following purposes:
  - Make reservations, pay and purchase Ticket, provide transportation services, related services, and equipment;
  - Accounting, invoicing and auditing, credit card or other payment card checking
  - Statistics and market analysis, frequent customer program management;
  - Customer relationship
  - Direct marketing and market investigation; and
  - Other purposes for accessing and using the Website/ App and Mobile Application.
16. “Vietnamese laws” means all laws, decrees, and regulations issued in Vietnam by any Vietnamese ministry, people’s committee, government authority or body, and any public committee, council, agency or body.
17. In these Terms, unless the context otherwise requires:
  1. wordsimporting the singular include the plural and vice versa, words importing any gender include every gender;
  2. references to a “person” include any company, limited liability partnership, partnership, business trust or unincorporated association (whether or not having separate legal personality) and references to a “company” include any company, corporation or other body corporate, wherever and however incorporated or established;
  3. paragraph headings are for convenience of reference only and shall not affect the interpretation of these Terms; and
  4. the words “written” and “in writing” include any means of visible reproduction.

General operation regulation of the Website/ App of Redbus:
Through the Website/ App, Redbus only provides an e-commerce exchange floor. Accordingly, Redbus does not directly provide Product to Users but acts as an intermediary helping to connect Seller and User together quickly, conveniently and effectively. In light of the foregoing, the User is responsible for strictly complying with the content of the general operation regulation as below:
1. The User can book Ticket anywhere with just an internet connection by choosing the Bus Operator, departure time, and price, and have the right to choose and use the services of Bus Operator on the Website/ App
2. The Website/ App is merely an e-commerce exchange floor that lists Product available from Seller registered with the Website/ App but does not own and provide directly the Product. Therefore, the role of the Website/ App is limited to connecting Buyers and Sellers. Should a Buyer decide to purchase any Product, a legal relationship in the form of applicable agreement shall be established directly between the Buyer and the Seller (“Buyer – Seller Purchase Agreement”). Redbus is not a party to any such Buyer – Seller Purchase Agreement or any other direct transactions or dealings between Buyers and Sellers and shall not assume any responsibilities or liabilities whatsoever in this regard. You acknowledge, agree, and understand that Redbus acts only as an intermediary (providing intermediary services between Buyers and Sellers through the Website/ App) and is not a party to the relationship or any dealings between the Buyers and the Sellers.
  
  In light of the foregoing, you agree that any liability in relation to the Product being offered on the Website/ App in accordance with the applicable Vietnamese laws shall be that of the Seller. We are not responsible for any errors or deficiencies of the Product. In case of any errors/ deficiencies of the Product, you agree not to pursue any such action arising from such errors/deficiencies of Product against us as well as making a complaint regarding the quality of the Product to the Website/ App of Redbus.
3. You further agree and acknowledge that the Website/ App is only a facilitator and we are not and cannot be a party to control any transactions on the Website/ App in any manner. Accordingly, the contract for the purchase/using of Product on the Website/ App shall be a bipartite contract between User and Seller listed on the Website/ App.
4. You further agree and acknowledge that all the discounts/coupons (if any) on the Website/ App and prices at which the Product are being sold by Seller on the Website/ App is merely a non-binding invitation to make offer to enter into the civil contract in accordance with the applicable laws and shall not be construed to be an offer to enter into the civil contract (“đề nghị giao kết hợp đồng” in Vietnamese) in accordance with the applicable Vietnamese laws. Hence, in light of the foregoing, when you agree to purchase any Product of the Seller listed on the Website/ App, that would be regarded as a valid offer under the prevailing Vietnamese laws and therefore, it is upon the Seller to accept the valid offer or reject the valid offer. In this regard, please be noted that the valid offer would become a valid contract, provided that the Seller accepts the valid offer in the manner as prescribed by the applicable Vietnamese laws.
5. All organizations and individuals participating in transactions on Redbus must respect the legitimate rights and interests of the parties involved.
6. All organizations, individuals participate in transactions on Redbus based on respect of the principle of voluntary freedom, the legitimate rights, and interests of the parties involved in the purchase and sale of products and services, and not contrary to the provisions of law.
7. Seller providing passenger transportation services participating in transactions at RedBus must fully meets all requirements for providing the services as per provisions of the prevailing Vietnamese laws and does not fall into the cases of business activities and advertising prohibited as prescribed by the prevailing Vietnamese laws.
8. When User accesses the Website/ App to purchase our Services, it is assumed that all have agreed to abide by and to be bound by these Terms.
9. Together with its amendments, supplements, and replacements from time to time form an integral part of these Terms between Redbus and the User. Any content not specified in these Terms, or any contradiction to these Terms, the prevailing Vietnamese laws and regulations shall prevail.
User Account:
Redbus may offer the option of opening user accounts on the Website/ App by the User. The user account may be linked to the User's email or phone number or both. For use of the Website/ App by User, either by registering an account with Redbus or using the Website/ App as a guest (unregistered user), the User has agreed to the following:
1. Your access of the Sites and/or use of the Services shall be conditional on you providing the following information (“User Information”):
  1. your confirmation that you have read these Terms and acceptance thereof; and
  2. such other information we determine as necessary in our sole discretion in order to comply with applicable laws or otherwise in connection with your access of the Website/ App and/or the provision of Services to you, including but not limited to the information as requested on the Website/ App.
2. By submitting any of your User Information, you represent and warrant to us that such User Information as submitted is complete, accurate and authentic and you shall promptly update us of any changes to your User Information. In the event of any change to your User Information, you agree that we may, without prior notice to you, suspend, restrict, or terminate your access to the Website/ Apps and/or use of the Services until any such change has been provided to our satisfaction.
3. You also irrevocably and unconditionally agree that such User Information provided by you to us may be shared without limitation or restriction with any other affiliate of ours or Governmental Authority for the purpose of compliance with any applicable laws in connection with the Services
4. Users may register to become a member to use and access the Website/ App.
  You are responsible for maintaining the security and confidentiality of your account, password and any identification we provide to you and for restricting access to your computer to prevent unauthorized access to your account when you use this Website/ App by registering an account with Redbus.. Only you can use your own account and you represent and warrant that you will not authorize any other party to use your identity or your account for any reason, unless permitted by Redbus.
5. You cannot assign or transfer your account to any other party.
6. By using the Website/ App, either as a guest user or registered user, you have agreed to authorize Redbus and its agents to access third-party sites, including that of banks and other payment gateways designated by the bank or on the bank's behalf for retrieving requested information for processing of transactions generated by User on the Website/ App.
7. In the event that you use the Website/ App through a registered account, the User has agreed to accept all responsibilities for all activities that occur under your account or password, whether the User authorizes such activity or not. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) sign out from your account at the end of each session when accessing the Services. We will not be liable for any loss or damage arising from your failure to comply with this section.
8. You must ensure that the details you provide us with are correct and complete and inform us immediately of any changes to the information that you provided when registering. Please note that you are responsible for your use of your account and may be liable for your account even if your account is misused by others.
9. User account activation (if any) is subject to verification from Redbus.
10. We will not be responsible for screening, censoring or otherwise controlling transactions, including whether the transaction is legal and valid as per the laws of the host company of the User.
11. User warrants that they will abide by all such additional procedures and guidelines, as modified from time to time, in connection with the use of Website/ App. You shall also be liable to comply with all applicable laws and regulations regarding use of Website/ App with respect to the jurisdiction concerned for each transaction.
12. Website/ App may be used for personal and non-commercial purposes only. Therefore, unless specified otherwise and expressly permitted by the copyright laws, you are not allowed to re-sell, deep-link, use, copy, monitor (e.g. spider, scrape), display, download, reproduce, redistribute, retransmit, or otherwise commercially exploit any content or information, software, Product or Facility available on Website/ App, downloads you make from the Website/ App without the permission of the owner of intellectual property rights as mentioned in Clause 20.1 of these Terms below.
13. You agree that we may, without prior notice to you, suspend, restrict, or terminate your access to Website/ App, temporarily block, delete, or deactivate your account, remove or edit content at any time at our sole discretion and for any cause without giving reasons for blocking, deletion, or deactivation of your account provided that this will not affect our obligations to provide any Product that have been purchased by you prior to that time (unless we also cancel those Product as permitted by these Terms). The reasons for blocking, deletion, or deactivation of your account may include but are not limited to:
  1. Breach of these Terms;
  2. Prohibitions in law or regulations;
  3. Fraud or theft (or indication or suspicion of fraud or theft);
  4. Suspicion of criminal activity;
  5. Suspicious ordering;
  6. You are providing inaccurate, erroneous or misleading information;
  7. Your inappropriate behavior, threats, or insults;
  8. Refusal to provide information;
  9. Practical impediments;
  10. Communication difficulties or breakdowns; or
  11. You are listed on any “black lists” or “watch lists” by governments or international organizations.

Eligible User:
1. Use of the Website/ App is available only to persons who have full capacity for entering into legally binding contracts under the applicable Vietnamese laws. Particularly, you must be at least eighteen (18) years old to use the Website/ App, except in the circumstances prescribed in Vietnamese laws (e.g., loss of capacity for civil acts, the person with difficulty in awareness or control of his or her own acts, etc.). Persons who does not have full capacity for civil acts as prescribed by the prevailing Vietnamese laws are not eligible to use the Website/ App.
2. As a minor who are under eighteen (18) years old, you cannot use or perform transactions on Website/ App. Such use or transaction may be made by your legal guardian or parents on the Website/ App. We reserve the right to terminate your membership and/or refuse to provide you with access to the Website/ App if it is discovered that you are not an eligible User as stipulated in this clause.

Privacy:
By agreeing to these Terms, you shall be bound by the following policies of the Website/App
1. The Privacy Policy of Website/ App; and
2. The Cookie Policy of Website/ App.
3. Buyers do not need to create a member account to trade and/or order online services at the Website/ App. Therefore, Redbus only collects personal information of Buyer in case of the Buyer makes order through the Website/ App. The system will display a link to Redbus's Privacy Policy and Regulations at the time of collection for users to read and confirm.
4. By using our Services, you consent to the processing of personal data as described in the Privacy Policy and the Regulation. If we change our Privacy Policy, we will post those changes on the Website/ App. Depending on the actual situation, we reserve the right to amend and supplement this Privacy Policy at any time without prior notice.

Links:
1. This Website/ App may contain links to Website/ Apps maintained by third parties ("External Sites"). These External Sites are provided for User's reference and convenience only. We do not own, operate, control or endorse in any respect such External Sites or their content. User assumes sole responsibility for use of these External Sites and are therefore, advised to examine the terms and conditions of those External Sites carefully. You shall indemnify, reimburse, hold harmless or otherwise pay Redbus from and against all liabilities, claims, costs and expenses whatsoever arising as a result of accessing, usage of or in connection with External Sites.
2. You must not refer to this Website/ App without obtaining the prior written approval of Redbus. Use of any automated screen capture or screen scraping technologies to obtain information from this Website/ App without the prior written approval of Redbus is an infringement of our intellectual property rights as mentioned in Clause 20 below.

Usage Conduct:
1. You have acknowledged and agreed that you only have a limited right merely to use the Website/ App and that you have no right to modify any part of the Website/ App or reproduce, copy, distribute, sell, resell or access the Facility for any other commercial purposes
2. You are also under an obligation to use this Website/ App for reasonable and lawful purposes only and shall not indulge in any activity that is not envisaged in these Terms. You shall use this Website/ App and Facility and any Product purchased through it, for personal and non-commercial purposes only and shall not re- sell the same to any other person.
3. You shall not use any other hidden text related to the name and trademarks of Redbus and our subsidiaries, affiliates and the Website/ App without the expressed written consent from Redbus.
4. You shall not use the Website/ App for any of the following:
  1. for fraudulent or theft purposes (or indication or suspicion of fraud or theft), or suspicion of or in connection with a criminal offense or other unlawful activity.
  2. for inappropriate behavior, threats, or insults.to send, use or reuse any material that does not belong to you; or material that is illegal, offensive (including but not limited to material that is sexually explicit content or which promotes racism, bigotry, hatred or physical harm), deceptive, misleading, abusive, indecent, harassing, blasphemous, defamatory, libelous, obscene, pornographic, pedophilic or menacing; ethnically objectionable, disparaging or in breach of copyright, trademark, confidentiality, privacy or any other proprietary information or right; or is otherwise injurious to third parties; or relates to or promotes money laundering or gambling; or is harmful to minors in any way; or impersonates another person; or threatens the unity, integrity, security or sovereignty of Vietnamese or friendly relations with foreign States; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any "spam" to cause annoyance, inconvenience or needless anxiety.
  3. to access unauthorized data or log into a server or account that the User does not have rights to access.
  4. attempt to probe, scan, or test for system or network vulnerabilities or violate security measures or unauthorized authentication.
  5. do not use any programs, tools, or other means to interfere with the system or change the data structure.
  6. any form of distribution, propagation, or promotion of any activity aimed at interfering, sabotaging, or infringing on RedBus' systems is not allowed.

Communications:
1. When you access and use the Website/ App or send emails or other data, information, or communication to us, you have agreed and understood that you are communicating with us through electronic means and you have consented to receive communications via electronic means from us periodically and as when required.
2. We may communicate with you by email or by other electronic modes of communication or otherwise.

Disclaimer of Warranties and Liability:
1. The Services are provided to you on as “as is” and “as available” basis without any guarantee or warranty in relation to the Services, including that such Services will be available, meet any performance parameters, or that your use of such Services will be uninterrupted, secure or error-free.
2. This Website/ App, the Facility, Product (including but not limited to software) included or otherwise made available to you through this Website/ App are provided on an "as is" and "as available" basis without any representation or warranty, or guarantee, whether express or implied, including with respect to the merchantability of a Product or suitability of the Product we provide for a particular purpose, except otherwise specified in writing by Redbus or shown on the Website/ App.
3. Without prejudice to the foregoing clause, Redbus does not warrant that:
  1. The Website/ App; information, content, materials, Facility, Product (including software), and security features included on or otherwise made available to you through the Website/ App, servers; or electronic communication sent from us will be constantly available, uninterrupted or free from error, viruses, malware or harmful components despite our best efforts to prevent these incidents; at all;
  2. The information, content External Sites and resources on this Website/ App are complete, true, accurate, or non-misleading and free from source material that is malicious, indecent, or controversial.
4. We do not warrant that the Website/ App will be compatible with all or any hardware and software used. We do not guarantee that this Website/ App will operate continuously, promptly, securely, or without errors.
5. Redbus will not be liable to you in any way or in relation to the contents of, or use of, or otherwise in connection with the Website/ App. All information provided on the Website/ App is subject to change without prior notice.
6. You may be required to enter a valid phone number while placing an order or trading on the Website/ App. By registering your phone number with us, you consent to be contacted by us for the purposes of performing the transaction on the Website/ App.
7. We will not use your personal information to initiate any promotional phone calls.
8. For the purpose of booking a Ticket through the Website/ App, we warrant that we shall be responsible for the following activities:
  1. Issuing a valid Ticket (a Ticket that will be accepted by the Bus Operator) for its' network of Bus Operators; and
  2. Providing customer support services and information in case of any delays/inconvenience
9. However, We DO NOT take any liability for the following:
  1. The Bus Operator 's bus not departing/reaching on time;
  2. The Bus Operator 's employees being rude;
  3. The Bus Operator 's bus seats not being up to the customer's expectations;
  4. The Bus Operator canceling the trip due to unavoidable reasons as described in the following clauses;
  5. The baggage of the Buyers getting lost/stolen/damaged;
  6. The Bus Operator changing a Buyer's seat at the last minute to accommodate a lady/child; (vii) The Buyers waiting at the wrong boarding point (please call the Bus Operator to find out the exact boarding point if you are not a regular traveler on that particular bus);
  7. The Bus Operator changing the boarding point and/or using a pick-up vehicle at the boarding point to take Buyers to the bus departure point; and
  8. The bus used for the journey does not fit the description given to the Buyer.

Payment:
1. The process of payment shall be in accordance with Section V of the Operational Regulation of the Website/ App providing the e-commerce exchange floor of Redbus published on the Website/ App.
2. By the use of any of the payment method(s) available on the Website/ App by User, Redbus shall not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to you due to any of the following:
  1. Lack of authorization for any transaction/s;
  2. Exceeding the preset limit mutually agreed by You and any "bank/s";
  3. Any payment issues arising out of the transaction; or
  4. Decline of transaction for any other reason/s.
3. Transactions, transaction price and all commercial terms such as delivery, and dispatch of Product (bus ticket) are as per principal-to-principal bipartite contractual obligations between you and Bus Operator and payment facility is merely used by you and Bus Operator to facilitate the completion of the transactions. Use of the payment facility shall not render us liable or responsible for the non-delivery, non-receipt, non-payment, damage, breach of representations and warranties, or fraud as regards the products and/or services listed on Website/ App. You have specifically authorized the Website/ App or its service providers to collect, process, facilitate and remit payments and/or the transaction price electronically. Your relationship with Website/ App is on a principal-to principal basis and by accepting these Terms, you have agreed that Redbus is an independent contractor for all purposes and does not have control of or liability for the Product that are listed on the Website/ App that is paid by you by using the payment facility. Redbus does not guarantee the identity of any User, nor does it ensure that you or the Bus Operator will complete transactions.
4. You have understood, accepted and agreed that payment facilities provided through any third party on the Website/ App is neither banking nor financial services but is merely a facility providing an automated online electronic payment, collection and remittance for the transactions on the Website/ App using the existing authorized banking infrastructure and credit card payment gateway networks. Further, by providing payment facility, the Website/ App is neither acting as a trustee nor a trustor with respect to the transactions or the transaction price.
5. The use of Services shall be exclusive of all taxes that are applicable to, arising from, or in connection to your use of the Services (“Payable Tax”). You shall be responsible for determining any Payable Tax and declaring, withholding, collecting, reporting and remitting the correct amount of Payable Tax to the appropriate tax authorities. You shall be solely liable for all penalties, claims, fines, punishments, or other liabilities arising from the non-fulfilment or non-performance to any extent of any of your obligations in relation to the Payable Tax. Redbus shall be responsible for determining any Payable Tax and declaring, withholding, collecting taxes or levies. Please refer to Section 2.11 above for tax matters.
6. Order cancellation process: The cancellation of a ticket booked on Redbus depends on the policies of the Sellers (i.e., bus operators), as Redbus does not create its own exchange and return policies. Especially, when the Sellers share the bus schedules with RedBus, they also share the cancellation policies associated with the schedule with RedBus. This information is displayed to the Buyers at the time of booking. When the Buyers decide to cancel, the cancellation policies which were shared with the Buyers at the time of booking are applied. Additionally, Redbus provides features that enable customers to cancel their ticket in case the purchased ticket is eligible for cancellation on the Website/ App.
  If a customer is eligible for a refund after canceling a ticket according to the cancellation policies of the Sellers which were shared with the Buyers at the time of booking, Redbus will initiate the refund directly to the Buyers and collect the corresponding amount from subsequent payments made to the Sellers.

Carriage Policy:
1. You are responsible for making sure that your traveling date, time, and destination are correct before booking/reserving using the Facility or when you select to confirm your ticket purchase from the internet ticketing system. Please check our Cancellation Policy available on the Website/ App for details about cancellations and refunds.
2. You are responsible to be on board the bus reasonably in advance before departure time. We are not liable if you fail to be on board the bus by the time the coach departs.
3. The Bus Operator reserves the right to refuse you and your luggage from carriage on the bus for whatsoever reason that we deem justified in reasons, including but not limited to:
  1. Carrying contraband, illegal substances, fragile or oversize/overweight luggage, unruly behavior, drunkenness, or any other behavior that we deem as affecting other passengers' comfort or safety;
  2. You are unable to present valid identification documents for traveling;
  3. The payment of your fare is fraudulent;
  4. The booking of your seat has been done fraudulently or unlawfully or has been purchased from a person not authorized by us;
  5. The credit card by which you paid for the fare has been reported lost or stolen;
  6. The itinerary or booking or confirmation slip is counterfeit or obtained fraudulently; (vii) The itinerary has been altered by anyone other than us or our authorized agents, or has been mutilated (in which case we reserve the right to retain such documentation); You are unable to produce a valid and legible boarding ticket for the intended travel. The boarding ticket constitutes the legitimate evidence of the Contract of Carriage between you and the Seller;
  7. You are deemed medically unfit to travel and may pose a health threat to other passengers on board at our sole discretion
  8. You fail to arrive on time to board before the time of departure or fail to board the coach on the time the bus departs;
  9. If the Bus Operator has refused to carry you or chooses to remove you from carriage as per the reasons above mentioned, we reserve the right to cancel the unused Ticket and you will not be entitled to further carriage or refund of fare. We will not be liable for the consequential or incidental loss, damage, cost, or fee you may incur with the refusal of carriage.
  10. Children below age twelve (12) will not be accepted for carriage unless they are accompanied by an adult.
  11. The Bus Operators reserve the right to reschedule, cancel, and/or delay any trips and substitute other buses for reasons deem necessary to do so.
  12. You are responsible to ensure that valid and necessary identification documents for the travel, including the relevant passports, valid visas and/or identification, are carried with you for the journey. If you are denied entry/exit, or held up at the immigration for the country you are traveling to, from, or over, we will not be held responsible for the mentioned and reserve the right to continue the journey. We are not responsible for the consequential or incidental loss, cost, and fee incurred by you as a result in this regard.

Product warranty process
Since the Website/ App only provides Services, no product warranty/maintenance process is applicable. Furthermore, Redbus does not apply a general warranty policy for Products of Sellers posted on the Website/ App. Sellers will have their own warranty policy which is detailed in the information of Products posted on the Website/ App and will be self-responsible for the warranty policy posted on the Website/ App.

Redbus’s rights include:
1. Has the right to check, update and correct information related to Bus Operator, bus routes and other information when receiving information from the Bus Operator or discovering new information that may affect Buyers as well as the reputation of Redbus;
2. Refuse, suspend, or terminate the provision of information about the Bus Operator, bus routes and other relevant information in the event that there is a basis to prove that the Bus Operator provides inaccurate, sufficient information to Redbus, violating the Vietnamese laws, morals and fine customs of Vietnam;
3. Reserves all intellectual property rights to the content, information and materials on the Website/ App in accordance with the Vietnamese laws on intellectual property protection and Clause 20 of these Terms below;
4. Request the Bus Operators on the list of conditional trading Product on the Website/ App to provide an eligibility certificate and sub-licenses for trading such Product (in case such eligibility certificate and sub-licenses is required by law); and
5. Other rights as prescribed by other policies published on the Website/ App and/ or by laws.

Redbus’s responsibilities include:
1. Develop and publicly publish on Website/ App the regulations, terms and conditions, monitor and ensure the implementation of such regulations;
2. Store registration information of Bus Operator participating on the Website/ App and regularly update relevant changes and additional information;
3. Support for posting and updating the information provided by Bus Operator to sell tickets or provide Buyer with service through the Website/ App; have an inspection and supervision mechanism to ensure the Seller’s information provided on our Website/ App is done accurately and completely;
4. Establish a mechanism to provide information and book Ticket on the Website/ App to allow the Buyers to comply with the process of booking, purchasing Ticket, and canceling online Ticket through the Website/ App;
5. Take the necessary measures to ensure the security and confidentiality of information related to the Bus Operator’s trade secrets and the Buyer’s Personal Information;
6. Actively supporting governmental authorities in investigating business violations as stipulated in Vietnamese laws; providing documents such as registration information, and transaction data history of violators on the Website/ App;
7. Take proper measures when detecting or receiving feedback on business violations on the Website/ App as stipulated in Vietnamese laws; when a Buyer buys a Ticket and has a conflict with the Bus Operator or has legal interests damaged, Redbus will provide the Buyer with information about the Bus Operator, actively assisting Buyers in protecting their legitimate rights and interests;
8. Provide necessary information of Passenger booking Ticket including but not limited to name, phone number, and departure date for the Bus Operator so that he may assist the passenger in boarding the bus;
9. Collect money in accordance with the fare schedule provided by the Bus Operator under the service contract between Redbus and Bus Operator;
10. Maintain normal operations of the Website/ App and fix incidents affecting the operations of the Website/ App. Redbus shall not be liable for any non-performance or violation of these Terms, such as for transaction failure, restricted access to the Site, or any damage or harm to other Users, and any damages or losses caused by any means to any party caused by Force Majeure Event(s);
11. All transaction information is confidential and not transferred or assigned to any other third party, except when required to provide by competent authorities; and
12. Other responsibilities as prescribed by other policies published on the Website/ App and/ or by laws.

Bus Operator’s rights include:
1. In order to protect the interests of the Seller/Bus Operator, the Management Board of Redbus provides Bus Operator with necessary and important i
2. To be assured of confidentiality and information safety in accordance with the laws; and
3. Other rights as prescribed by other policies published on the Website/ App and/ or by laws

Seller/Bus Operator’s responsibilities include:
1. Is responsible for all issues related to Seller/Bus Operator’s intellectual property rights as stipulated in Clause 20.1 of these Terms below and must ensure the provision of full and accurate information according to the provisions of Articles 30 to 34 of Decree No. 52 /2013/ND-CP and take responsibility for the accuracy and truthfulness of information about Product published on the Website/ App;
2. Must comply with the provisions of the prevailing Vietnamese law on payment, advertising, promotion, protection of intellectual property rights, protection of consumers’ interests, and fulfilling tax obligations as precribed by laws when selling the Product on the Website/ App;
3. The Bus Operator is obligated to comply with the Operational Regulation of the Website/ App providing the e commerce exchange floor of Redbus posted on the Website/ App and is responsible for providing the Product that has been posted on the Website/ App;
4. Does not discriminate against the Buyers of the Website/ App and does not charge additional fees and guarantees to provide Product as committed to the Buyer;
5. Shall indemnify, reimburse and hold harmless Redbus from and against all liabilities, claims, costs, and expenses whatsoever arising from the following matters: (a) any claim relating to a violation of the law of the Bus Operator; (b) any claims by the Buyer regarding Product provided by the Bus Operator, including but not limited to claims of false advertising, service defect, accident, discrimination treat Buyers, do not pick up Buyers;
6. Must not act to discredit Redbus in any form of propaganda, dissemination of information not conducive to the reputation of Redbus and other forms which may adversely affect or result in damage to the Website/ App, Redbus or our affiliates and employees, or Redbus’s reputation; and
7. Other responsibilities as prescribed by other policies published on the Website/ App and/ or by laws.

Buyers’ rights include:
1. The Buyers has the right to request a support issues in booking, payments on with the Seller on Redbus Website/ App. The booking of Tickets on the Website/ App takes place quickly and conveniently, when the Buyers selects the Ticket and confirms the booking, the system will display the information on the Ticket of the Buyers including the payment confirmation code via SMS and/or email provided by the Buyers when booking;
  
  If you do not receive SMS/email confirmation or cancellation for any reason, please contact us to resend the confirmation. Information sent via SMS /email can sometimes not be successfully transmitted or can be delayed due to various reasons beyond the control of Redbus (such as telephone operator error, internet connection issues);
2. To be entitled to make complaints, claims related to the Product provided by the Bus Operator according to Section 21 of this Terms and Conditions; meanwhile, Redbus always ensures to be an intermediary to claim the Buyer from the Bus Operator or the Seller to ensure the legitimate interests of Buyer in cases of having conflicts between the Buyer with the Bus Operator which affect the interests of the Buyer;
3. Have the right to contribute opinions to our Website/ App. The proposals are sent directly by email, fax, or by phone; and
4. Other rights as prescribed by other policies published on the Website/ App and/ or by laws.

Buyers’ responsibilities include:
1. Responsible for providing full and accurate Personal Information to ensure fulfillment of the transactions; Present at least 30 minutes (for holidays, need to leave 60 minutes in advance) before scheduled departure time, or earlier depending on the regulations of the Bus Operator;
2. At the time of boarding, the Buyers will be asked to provide the following information, otherwise, the Buyers may be denied boarding:
  1. SMS or email with information about payment confirmation code; and
  2. Identity cards (or other identification documents such as passports, driving licenses, etc., depending on the regulations of the Bus Operator)
3. When booking on the Website/ App, the Buyer has agreed to allow Redbus to call, email, or send SMS to notify and provide information or to obtain information related to the Buyer’s booking
4. When the Buyer makes a reservation on the Website/ App, Redbus will make effort to accommodate the seat position requested by the Buyers. However, Redbus does not guarantee the availability of any positions on the vehicle. Redbus reserves the right to re-position the Buyer on the vehicles for operational, security, safety, or health reasons, or at the request of the competent authorities;
5. The Buyer undertakes to follow all procedures and instructions, as amended from time to time, regarding the use of the Facility available through the Website/ App. The Buyer also must comply with all applicable Vietnamese laws, regulations, orders, instructions, etc. issued by the competent authorities when using the Facility or for performing each transaction;
6. Buyer should check the descriptions of the Product carefully before making a reservation. The Buyer has agreed to be bound by all conditions set forth in the booking confirmation;
7. You have agreed to not use the Website/ App for commercial purposes or either directly or indirectly for other than personal use or for unlawful purposes (prohibited by law) or do any acts that violate these Terms. Except with the written consent of Redbus, you have also agreed not to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative creations from, transfer, sell or re-sell any information, software, products or services obtained in connection with the Website/ App. In addition, you agree not to:
  1. perform any action that imposes or may impose, an unreasonable burden on the Website/ App or the Facility;
  2. make a major link to the Website/ App (including but not limited to the booking path) for any purpose without written consent from Redbus;
  3. send or store any materials to or through the Website/ App that violates any law, regulation, or rules, or which can support unlawful or criminal activities;
  4. send or store any materials (including providing any links to other materials) which is defamatory, slanderous, false, obscene, threatening, libelous or otherwise unlawful or tortious;
  5. send spam or other unsolicited messages or otherwise cause nuisance, annoyance or inconvenience; (vi) send or store any materials that may infringe upon the intellectual property rights or other rights of a particular entity or person;
  6. send or store any materials where prohibited by the prevailing Vietnamese laws or violate the rights and obligations that exist based on the contractual relationship;
  7. send or store any materials containing software viruses, worms, trojan horses or other harmful computer code;
  8. imitate any person or entity for any purpose;
  9. manipulate or falsify information with the aim to disguise the origin of statements provided; (xi) use the Website/ App in any manner which could damage, disable, obstruct, or interfere with the use of the Website/ App or computer, equipment of other Users, or cause damage, disruption or limit the functionality of the software, hardware or telecommunications equipment;
  10. gain unauthorized access or perform unauthorized modification to the Website/ App or other External Sites, other accounts, computer systems, networks connected to the Website/ App through hacking, password theft or other similar matters;
  11. obtain or attempt to obtain any materials or information in ways that are not intentionally supplied by the Website/ App (including but not limited to other destinations provided by the Website/ App). This includes but is not limited to obtaining or collecting information about others such as email addresses;
  12. engage in fraudulent acts or actions that aim to manipulate a search engine results page (“SERP”) or perform search engine optimization (“SEO”). SEO practices considered unethical or to constitute "spamdexing" include but are not limited to cloaking, metadata, title tags, content scraping, link schemes, google bomb, search keywords, hidden text or hidden links, link schemes, comments containing spam and other matters;
  13. any other actions which may adversely affect or result in damage to the Website/ App, Redbus or our affiliates and employees, or Redbus’s reputation;
  14. modify or make derivative works based on the Website/ App and/or the Facility, or reverse engineer or access the underlying software for any reason; and
  15. use the Website/ App to build a competitive Product.
8. By placing an order through the Website/ App, you hereby represent and warrant that you are not subject to any prohibitions or restrictions by any prevailing Vietnamese laws, regulations, orders, instructions, etc. issued by the competent authorities; and
9. Other responsibilities as prescribed by other policies published on the Website/ App and/ or by laws.

Immigration
Redbusis not responsible for any delays at immigration checkpoints. It is the passenger's responsibility to bring along valid travel documents and to comply with customs requirements.

Intellectual Property Rights:
1. All intellectual property rights to content, information and materials on the Website/ App including but not limited to designs, arrangement, style, looks, text, graphics, logos, user interface, visual interface, price list, stories, articles, button icons, images, audio clips, digital downloads, data compilations, software or other designs etc., are owned by Redbus and our affiliates or its content suppliers or Seller or other third parties that Redbus has a commercial arrangement with (“Intellectual Property Rights”) and is protected by the applicable Vietnamese and international laws.
2. The compilation of all content on this Website/ App is the exclusive property of Rebus and is protected by the law of Vietnamese and international laws on Intellectual Property Rights.
3. All content, information and materials including but not limited to software, text, data, graphics, images, sounds, videos, trademarks, logos, icons, html codes and other codes on the Website/ App are prohibited to be published, modified, copied, reproduced, duplicated, or altered in any way outside the area of the Website/ App without the express written permission of Redbus. If you violate these rights, Redbus reserves the right to bring a civil claim for the full amount of damages or losses suffered. These violations may also constitute criminal offenses.
4. You may not systematically extract/or re-utilize parts of the contents of the Website/ App without our express written consent. In particular, you may not utilize any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilization of any substantial parts of this Website/ App, without Redbus's express written consent.
5. In addition, the User agrees not to misuse the materials available on this Website/ App in any way.
6. Our Trademarks in various Jurisdictions and you cannot use the trademark for commercially exploiting your interests without our express permission.

Dispute Resolution:
1. During purchasing tickets on the Website/ App, if there is an issue with ticket confirmation or payments, the Users can contact Customer Support of Redbus directly for a quick and timely resolution.
2. In case of technical errors, software errors, or other objective errors leading to the Users not participating in transactions, the Users should notify Redbus via email: contact@redbus.vn. We will fix the error as soon as possible, creating conditions for the Users to use the Website/ App.
3. In case any dispute arises from or in connection with the transaction on the Website/ App, the Website/ App receives and resolves complaints from Buyers according to the following process:
  Step 1: Buyer submits the complaint by email to contact@redbus.vn The Complainant needs to provide evidence related to the content of the complaint at the request of the Management Board
  
  Step 2:The receiving department transfers it to the department responsible for finding out, verifying information and settling complaints
  
  Step 3:Within 07 days from the date of receipt of the Complainant's complaint, Redbus will reach out to the Complainants to request them to supplement/provide more evidence if necessary or settle the complaint if the information provided is already sufficient.
  
  Step 4:If the Complainant agrees to the settlement, the process ends at Step 4. If the Complainant disagrees, proceed to Step 5.
  
  Step 5:If the Complainant and Redbus cannot conciliate and negotiate successfully, the Complainant has the right to bring the case to a competent court for settlement.
4. For other parties such as Bus Operator, Banks providing payment services, etc, the process of dispute resolution will subject to commercial contracts signed between Redbus and these parties.

Grievance Officer:
1. In case of any consumer grievance, the User may contact Redbus at the email id provided below contact@redbus.vn.
2. When there is a complaint, the User needs to notify us within 07 (seven) days from the date of departure.
3. When receiving the feedback, Redbus will confirm the information. If it is as reflected, depending on the extent, there will be timely handling measures.
4. The User shall regularly read and follow these Terms and other policies and regulations posted on the Website/ App to be able to understand and implement these Terms, policies and regulations at that time.

Misrepresentation:
1. At any point in using the Website/ App, if Redbus has reasonable grounds to suspect that the User has misrepresented facts or provide false User Information or other information to Redbus or acted to deceive Redbus regarding the nature of the User's activities (“Misrepresentation”), such Misrepresentation will be considered a violation of these terms, and we may terminate users' use at our sole discretion
2. The User must not abuse Redbus's services for illegal, unreasonable, fraudulent, threatening, illegal information exploration, sabotage, creating, and spreading viruses that damage the Redbus system, configuration, and information transmission. In case of

Indemnity and Release:
1. You shall indemnify, reimburse, hold harmless or otherwise pay the Website/ App, Redbus and our representatives, respective officers, directors, shareholders, agents and employees, from any claim, demand, liabilities, losses, or expenses (including reasonable attorney's fee), made by any third party or penalty imposed due to or arising out of your breach of these Terms or any document incorporated by reference, or your violation of any regulations, policies, guidelines or terms posted on the Website/ App, or User's violation of applicable Vietnamese laws, r

You hereby expressly release Website/ App/Redbus and representatives, respective officers, directors, shareholders, agents and employees from any cost, damage, liability, or other consequence of any of the actions/inactions of the Seller and specifically waive any claims or demands that you may have on this behalf under any Vietnamese laws, regulations, orders, instructions, etc. issued by the competent authorities, contract and otherwise.

Losses:
We will not be responsible for any loss, direct or indirect, consequential, intentional or unintentional or punitive damages (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) and any other indirect or consequential loss to you when commenced using the Website/ App.

Governing law:
These Terms are governed by and shall be construed in accordance with the laws of Vietnam.

Amendment / Modification: At its sole discretion, Redbus reserves the right to change, modify, add or remove part or all of these Terms and other terms and conditions in relation to the Website/ App as referred to in these Terms, including but not limited to (i) Operation Regulation, (ii) Privacy Policy, and (iii) Cookie Policy, from time to time to comply with the Vietnamese laws or to reflect a change to our operational practices without prior notice to Users by uploading the revised Terms on the Website/ App. Modifications will take effect from the time they are posted. It is the User's responsibility to keep yourself aware of the revisions to the Terms of the Website/ App, so every time you use the Website/ App, please check these Terms to ensure that you have reviewed the updated version.. By continuing to use any part of our Services after changes posted, you hereby have read, understood and agreed and consent to such amendments and its binding to you.

Limitation of Liability:
YOU HEREBY DECLARE TO AND AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW:
1. WE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE TERMS, WEBSITE/ APP, THE FACILITY, TRANSACTION PROCESSING SERVICE, USE OR INABILITY TO USE THE FACILITY OR THE TRANSACTION PROCESSING SERVICE, OR THOSE RESULTING FROM ANY SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE WEBSITE/ APP, BEYOND THE VALUE OF THE LAST TRANSACTION CARRIED OUT BY THE END-USER THROUGH THE SITE.
2. WE DO NOT GUARANTEE OR WARRANT THAT YOU WILL BE GRANTED VALID TRAVEL PERMITS APPLICABLE TO YOU. WE DO NOT HAVE ANY RESPONSIBILITY TO NOTIFY YOU OR INDEMNIFY YOU IN THE EVENT THAT YOU SUFFER LOSSES OR DAMAGES RELATING TO YOUR LACK OF VISA OR TRAVEL PERMITS (INCLUDING, BUT NOT LIMITED TO, REFUSAL OF ENTRY, AND DEPORTATION).
3. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS AT YOUR SOLE RESPONSIBILITY AND RISK. YOU VOLUNTARILY ASSUME SUCH RISK, AND YOU WILL BE FULLY RESPONSIBLE FOR ANY LOSS OR DAMAGE ARISING OUT OF OR IN RELATION TO SUCH MATERIAL, INCLUDING ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM DOWNLOADING ANY MATERIALS THAT ARE PROVIDED.

Viruses, Hacking, and Other Attacks
1. The User must not take advantage of our Website/ App to intentionally spread viruses, trojans, worms, logic bombs, or other harmful or harmful materials. Terms and Termination
1. These Terms remain in effect when the User access and use the Website/ App, regardless of registering the user account.
2. If the User violates any parts of these Terms or if Redbus/ Website/ App is unable to verify and confirm any information the User, we may:
  1. terminate or suspend a User's access and usage of the Website/ App without prior notice; and (ii) prevent the User from accessing and/or using the Website/ App
3. Upon termination, at its sole discretion, Redbus reserves the right to seek legal compensation, including but not limited to the removal of user information, content, or other materials from the Website/ App.

Miscellaneous
1. Redbus reserves all rights not conferred herein.
  Regarding accessing outside of Vietnam, Redbus does not warrant that the Website/ App may be lawfully viewed or accessed outside of Vietnam. Suppose the User accesses the Website/ App outside of Vietnam. In that case, the User is solely responsible for his or her own risk and compliance with the law and regulations of the host country.
2. The Parties acknowledge and accept that electronic format shall be deemed an acceptable means of communication for these Terms.
3. These Terms constitute a complete agreement between the Parties relating to accessing and usage of the Website/ App and shall supersede any or all of all previous drafts, the other terms and conditions, agreements, arrangements, undertaking and statement, whether written or oral, between the Parties under these Terms.
4. If any provision of these Terms or any part thereof is rendered void, illegal or unenforceable by any law, regulation or policy, it shall be rendered void, illegal or unenforceable to that extent and no further, and shall not affect the validity of other provisions of these Terms.
5. The unenforceable, invalidity or illegality of any of the provisions of these Terms shall not affect the validity, legality and enforceability of other provisions of these Terms.
6. Without any delay, failure, or omission (in whole or in part) in the exercise, application, or pursuit of any right, power, privilege, demand, remedy in connection therewith or arising from these Terms or by law shall be deemed, construed as a waiver of a right to prevent their exercise, or of any right, power, privilege, demand or remedy, in any case at that time or after that.
7. A waiver (whether express or implied) by one of the parties of any of the provisions of these Terms or of any breach of or default by the other party in performing any of those provisions shall not constitute a continuing waiver and that waiver shall not prevent the waiving party from subsequently enforcing any of the provisions of these Terms not waived or from acting on any subsequent breach of or default by the other party under any of the provisions of these Terms.
8. Except as expressly provided in these Terms, each party shall pay its own costs incurred in connection with the negotiation, preparation, execution and, where necessary, registration of these Terms.
